AGREEMENT TO TERMS

The following terms and conditions, together with our Code of Conduct and Privacy Policy, which are hereby expressly incorporated herein by reference (collectively, “Terms of Service”), govern your access to and use of TrustandSafetyFoundation.org and any content, websites, functionality, and services offered on or through those domains and subdomains, and any other online services provided by the Trust and Safety Foundation that expressly incorporate these terms (collectively, the “Services”).

BY ACCESSING OR USING THE SERVICES, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICES, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS OF SERVICE. IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICES. YOUR USE OF THE SERVICES, AND TSF’S PROVISION OF THE SERVICES TO YOU, CONSTITUTES AN AGREEMENT BY TSF AND BY YOU, TO BE BOUND BY THESE TERMS OF SERVICE.

1. ELIGIBILITY

You must be at least 18 years old to use the Services. By agreeing to these Terms of Service, you represent and warrant to us that: (i) you are at least 18 years of age; (ii) you have not previously been suspended or removed from the Services; and (iii) your use of the Services is in compliance with any and all applicable laws and regulations. If you are an entity, organization, or company, the individual accepting these Terms of Service on your behalf represents and warrants that they have authority to bind you to these Terms of Service and you agree to be bound by these Terms of Service.

The information provided on and in connection with the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable. 

2. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Services and any content contained therein (the “Content”) is our proprietary property and the trademarks, Services marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions. Except as expressly provided in these Terms of Service, no part of the Services and no Content or Marks may be used or distributed without our express prior written permission. TSF reserves all right in and to the Content and the Services not granted expressly in these Terms of Service.

Subject to your complete and ongoing compliance with these Terms of Service, TSF grants you, solely for your personal, non-commercial use, a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services. Except and solely to the extent such a restriction is impermissible under applicable law, you may not: (i) reproduce, distribute, publicly display or publicly perform the Services; (ii) make modifications to the Services; or (iii) interfere with or circumvent any feature of the Services, including any security or access control mechanism. If you are prohibited under applicable law from using the Services, you may not use it. 

3. USER CONTRIBUTIONS 

The Services (including our websites, our accounts, our virtual spaces, and on Third-Party Services such as Google Workspace, Zoom) may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, “post“) content or materials (collectively, “User Contributions“) on or through the Services. 

All User Contributions must comply with these Terms of Service and with our Code of Conduct (https://trustandsafetyfoundation.org/code-of-conduct/), which is hereby incorporated into and made part of these Terms of Service. 

A. User Contributions Non-Confidential; License

Any User Contribution you post to the Services will be considered non-confidential and non-proprietary. By providing any User Contribution on the Services, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns: (i) a non-revocable, perpetual, fully paid up, royalty free right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any User Contribution for any purpose, including for commercial purposes; and (ii) your permission to use your name, voice, image and likeness to the extent it is part of such User Contribution, and to truthfully identify you as the contributor of such User Contribution.

You represent and warrant that: 

  • You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.
  • All of your User Contributions do and will comply with these Terms of Service. 

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not TSF, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

We are not responsible nor liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Services.

B. Monitoring and Enforcement; Termination

We have the right to:

  • Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
  • Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Service, including our Content Standards or Code of Conduct, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Services or the public, or could create liability for TSF.
  • Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services. 
  • Terminate or suspend your access to all or part of the Services for any or no reason, including without limitation, any violation of these Terms of Service.

We may disclose the identity or other information of anyone posting any materials on or through the Services and other personally identifiable information about you to third parties in limited circumstances, including: (1) with your consent; (2) in accordance with our Privacy Policy; or (3) when we have a good faith belief it is required by law, such as pursuant to a subpoena or other judicial or administrative order.

If we are required by law to disclose the information that you have submitted, we will attempt to provide you with prior notice (unless we are prohibited or it would be futile) that a request for your information has been made in order to give you an opportunity to object to the disclosure. We will attempt to provide this notice by email, if you have given us an email address, or by postal mail if you have entered a postal address. If you do not challenge the disclosure request, we may be legally required to turn over your information.

In addition, we may independently object to requests for access to information about users of our site that we believe to be improper.

We do not undertake to review all material before it is posted on the Services, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

C. Content Standards

These content standards apply to any and all User Contributions. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

  • Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
  • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Service and our Privacy Policy.
  • Be likely to deceive any person.
  • Promote any illegal activity, or advocate, promote, or assist any unlawful act.
  • Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
  • Impersonate any person or misrepresent your identity or affiliation with any person or organization. 
  • Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
  • Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

4. EVENTS, CONFERENCES, AND ACTIVITIES 

TSF provides a wide range of virtual events and conferences. These terms set forth the terms and conditions between TSF and you when you register for, attend, or otherwise participate in any events or conference organized by TSF. By registering for such an event or conference you are agreeing to comply with these terms and conditions. If you do not wish to accept these terms and conditions, then you should not register. Some events may have their own policies, rules, and/or agreements that apply in addition to these terms and conditions.

A. How We Will Use Your Information

TSF is committed to data privacy and protecting your personal information. Information on how TSF collects, processes, and uses your data is included in our Privacy Policy. By submitting your email address during the event registration process, you agree that TSF and its event partners may send you event-related information. A valid email address is required for all registrations. 

B. Event Conduct and Safety

TSF is committed to providing a safe, productive, and welcoming environment to all participants, including attendees, staff, speakers, exhibitors, and/or vendors. Participants are expected to adhere to our Code of Conduct at all events. TSF does not tolerate discrimination or harassment in any form at its events. Participants should report any behavior inconsistent with TSF’s Code of Conduct to onsite event staff, or to us at contact@trustandsafetyfoundation.org.

C. Event Registration, Cancellation, Refunds

You agree to timely pay all event-related fees when due. Please note that the venue, timing, speakers, and program of any TSF event or conference is subject to change. Event and conference fees are non-refundable, unless otherwise specified in a specific event’s written refund policy.

D. Liability Waiver and Release

In consideration of being allowed to register for and participate in a TSF conference or event or activity, you warrant and represent that you are age 18 or above and freely waive, release from liability, assume all risks, and covenant not to sue TSF or its members, employees, board members, agents, or volunteers for any expense, loss, damage, personal injury, including loss of life, illness, including but not limited to COVID-19, disability, property damage, or property theft or actions of any kind that you may hereafter suffer or sustain before, during, or after the event, unless said expense, loss, damage, personal injury, including loss of life, illness, disability, property damage or property theft or actions of any kind is caused by the sole, gross negligence of TSF. This Liability Waiver and Release is specifically binding upon your heirs and assigns and is knowingly given.

E. Service As An Invited Speaker

If you agree to speak at a TSF event or participate in an activity where we will request your personal details, you hereby give us permission to share your name, likeness, contact information, and biographical information, and you hereby grant us a license to copy, excerpt, distribute, publicly display and publicly perform your presentation materials (including slide decks), for event attendees and for the public, including through our website and streaming media channels, and through our use of all such materials for any and all purposes, including commercial and advertising use, of audiovisual recordings of, and materials related to, the event. If you specifically ask us, in writing, not to distribute certain of the foregoing information to the public, we will make commercially reasonable efforts to accommodate your request.

F. Third-Party Content

The views expressed by any event attendee, speaker, exhibitor, vendor, or sponsor are not necessarily those of TSF. All attendees, speakers, exhibitors, and sponsors are solely responsible for the content of all communications, individual or corporate presentations, marketing collateral, and/or advertising, and represent and warrant that such materials will not infringe the privacy, publicity, intellectual property, or any other rights of any third party. 

G. Credential and Badge Scanning During an Event

TSF event sponsors, exhibitors, and other third parties may request your personal information at their booths or presentations. Providing your information to them is optional, and you should review their privacy policies to determine how they will treat your information. TSF takes no responsibility for how such third parties may use your information. TSF will not share your personally identifiable information with sponsors or exhibitors without your consent.

H. Usage of photos and video taken at TSF events

Unless you specifically opt out, TSF may, and you expressly grant TSF and its service providers the right to, capture content (including text, photos, audio, and video) from events and conferences, and to use that content (including via copying, modifying, distributing, displaying, and performing it) on its website, social media channels, via streaming media, and in any other forum, for any purpose, including for advertising and other commercial purposes.

At all TSF events, conferences, and activities, attendees can opt out of having their likeness shared. At TSF’s larger events, such as TrustCon and Regional Summits, attendees can opt out by wearing a lanyard that indicates they do not want to be photographed or be in video. For smaller events, speak to a TSF staff person if you do not want to be photographed or be included within audiovisual recordings. 

TSF will make commercially reasonable efforts to communicate and act according to your expressed privacy wishes, but because of the complexity of documenting its events and conferences, TSF cannot guarantee perfect compliance. If your image is inadvertently shared by TSF, please contact TSF at contact@trustandsafetyfoundation.org to ask for it to be removed. If a third party takes or shares your image at one of our events, you may request that TSF make reasonable efforts to contact the third party and request that they remove the photo or video. Although TSF may ask attendees or participants at some events or conferences to abide by certain confidentiality rules or to limit capture of audiovisual materials at events, TSF is not responsible for the actions of its speakers, attendees, vendors, exhibitors, or other third parties, and expressly disclaims all liability for any audiovisual materials created by any third party. 

If you are an attendee or participant at one of TSF’s events or conferences, you need to abide by the privacy guidelines of that event. Additionally, some participants may not consent to having their photos, videos, or social media handles uploaded and/or tagged online. If you are unsure about a participant’s privacy preferences, always ask for consent first. Attendees may use a small handheld camera or smartphone to take photographs for personal use, so long as the photography is not disruptive. Photographs may not be published, sold, or otherwise commercially exploited without our express written permission. If you create any audiovisual materials in connection with an event or conference, you represent and warrant that such materials, and your use of such materials, will not infringe upon the intellectual property, privacy, publicity, or any other rights of any third party, and you acknowledge that you are solely responsible for clearing any and all rights related to such materials. 

5. FEEDBACK 

If you choose to provide input to us via the Services, whether that is suggestions regarding problems with or proposed modifications or improvements to the Services or information submitted via the contact us form, surveys, or other forms (“Feedback”), then you hereby grant TSF an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to exploit the Feedback in any manner and for any purpose, including to improve the Services and create other products and Services.

6. THIRD-PARTY WEB SERVICES AND CONTENT

The Services may contain (or you may be sent via the Services) links to other websites or services (“Third-Party Services”) as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties (“Third-Party Content”). Such Third-Party Services and Third-Party Content are not necessarily investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Services accessed through the Services or any Third-Party Content posted on, available through, or installed from the Services, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Services or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Services or any Third-Party Content does not imply approval or endorsement thereof by us.  

7. RELIANCE ON INFORMATION POSTED

The information presented on or through our Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information, and TSF does not purport to promulgate industry standards or best practices. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Services, or by anyone who may be informed of any of its contents.

The Services include content provided by third parties, including materials provided by other users, bloggers, and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by TSF, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of TSF. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

8. PROHIBITED USES

You may use the Services only for lawful purposes and in accordance with these Terms of Service. You agree not to use the Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
  • To send, knowingly receive, upload, download, use, or re-use any material that does not comply with our Code of Conduct.
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
  • To impersonate or attempt to impersonate TSF, a TSF employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by us, may harm TSF or users of the Services, or expose them to liability.

Additionally, you agree not to:

  • Use the Services in any manner that could disable, overburden, damage, or impair the services or interfere with any other party’s use of the Services, including their ability to engage in real time activities through the Services.
  • Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.
  • Use any manual process to monitor or copy any of the material on the Services, or for any other purpose not expressly authorized in these Terms of Service, without our prior written consent.
  • Use any device, software, or routine that interferes with the proper working of the Services.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services is stored, or any server, computer, or database connected to the Services.
  • Attack the Services via a denial-of-service attack or a distributed denial-of-service attack.
  • Otherwise attempt to interfere with the proper working of the Services.

Any notice alleging that materials hosted by or distributed through the Services infringe intellectual property rights must include substantially the following:

  • an electronic or physical signature of the person authorized to act on behalf of the owner of the right being infringed;
  • a description of the intellectual property that you claim has been infringed;
  • a description of the material that you claim is infringing and where it is located on the Services;
  • your address, telephone number, and email address;
  • a statement by you that you have a good faith belief that the use of the materials on the Services of which you are complaining is not authorized by the intellectual property owner, its agent, or the law; and
  • a statement by you that the above information in your notice is accurate and that, under penalty of perjury, you are the intellectual property owner or authorized to act on the intellectual property owner’s behalf.

TSF’s intellectual property policy is to: (i) remove or disable access to material that TSF believes in good faith, upon notice from an intellectual property rights owner or his or her agent, is infringing the intellectual property rights of a third party by being made available through the Services; and (ii) in appropriate circumstances, to terminate the accounts of and block access to the Services by user who repeatedly or egregiously infringe other people’s copyrights or other intellectual property rights.

10. MODIFICATION OF THESE TERMS OF SERVICE

We may revise and update these Terms of Service from time to time, and we will provide notice, for example via the Services or other means such as email, when we make changes that materially modify your rights or obligations. Your continued use of the Services after the changes become effective means you accept and agree to the new terms. If you do not agree to the new terms, you must stop using the Services.

11. TERM AND TERMINATION

THESE TERMS OF SERVICE SHALL REMAIN IN FULL FORCE AND EFFECT WHILE YOU USE THE SERVICES. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF SERVICE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OF SERVICE OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION. 

12. EFFECT OF TERMINATION

Upon termination of these Terms of Service: (i) your license rights will terminate and you must immediately cease all use of the Services; and (ii) the Sections titled Eligibility, Intellectual Property Policy; User Contributions; Events, Conferences, and Activities; Reliance on Information Posted; Prohibited Uses; Feedback: Third Party Services and Content; Effect of Termination; Governing Law and Jurisdiction; Disclaimer of Warranties; Limitation of Liability: Indemnification; and Miscellaneous will survive.

13. GOVERNING LAW AND JURISDICTION

These Terms of Service and your use of the Services are governed by and construed in accordance with the laws of the State of California applicable to agreements made and to be entirely performed within the State of California, without regard to its conflict of law principles. The exclusive place of jurisdiction for all disputes arising from or in connection with this agreement is San Francisco County, California, or the United States District Court for the Northern District of California and our dispute will be determined under California law. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS, WITHOUT WARRANTIES OF ANY KIND. YOU AGREE THAT YOUR USE OF THE SERVICES AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEITHER TSF NOR ANY PERSON ASSOCIATED WITH TSF MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER TSF NOR ANYONE ASSOCIATED WITH TSF REPRESENTS OR WARRANTS THAT THE SERVICES, THEIR CONTENT, OR ANY SERVICES OR CONTENT OBTAINED THROUGH OR ASSOCIATED WITH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES OR ANY CONTENT OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW

15. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL TSF OR OUR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, LICENSORS, SERVICE PROVIDERS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES OR SERVICES LINKED TO THE SERVICES, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES OR SERVICES, INCLUDING ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFIT, LOST REVENUE, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO NO MORE THAN ONE HUNDRED DOLLARS ($100). 

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

16. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless TSF, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Service or your use of the Services, including, but not limited to, your User Contributions, any use of the content, services, and products offered on or through the Services other than as expressly authorized in these Terms of Service, or your use of any information obtained from the Services.

17. MISCELLANEOUS

These Terms of Service and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us regarding your use of the Services. Our failure to exercise or enforce any right or provision of these Terms of Service shall not operate as a waiver of such right or provision. These Terms of Service operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. If any provision or part of a provision of these Terms of Service are determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Service and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms of Service or use of the Services.
